Director Compensation

Our systems analyze 10-K, 10-K/A, 10-KT, 10-KT/A and DEF 14A filings generally within ten minutes or so after they are submitted to EDGAR to identify the Director Compensation table. The tables are parsed from the documents and the components of compensation described in the tables are identified and normalized to conform to the standard components as described by the SEC. The specific fields collected are listed below:

UPDATEThis database rebuilds each Sunday mornings at 3:00 AM CDT. Additions will include all tables parsed in the prior week that meet validation tests. Some table might be deleted (and then later added back) if some new data calls into questions previously reported errors.

CASHThe amount of cash compensation paid to the director in the category generally reported as Fees Earned or Paid in Cash. If the table reports amounts that were earned as cash but the director elected to defer into another component (STOCK/OPTION/NQDEFCOMP) then the amounts are added back into CASH and subtracted from the selected deferral category
NONEQUITYAny amounts reported as cash where the amount is determined based on some measure of financial performance (Non-Equity Incentive Plan Compensation)
NQDEFCOMPAny amounts deferred or amounts earned under a Non-Qualified Deferred Compensation Plan
STOCKThe amount of stock compensation paid
OPTIONThe value of the options granted
OTHERAny amount expressly reported as other or amounts reported not as other but whose labeling is not consistent with classification into one of the other listed categories
TOTALThe amount reported as the total compensation paid to the director. If this column is not present it is the arithmetic sum of the reported components. While we investigate all total errors greater than $10,000 if an explanation cannot be identified for the error and the total corrected we will report the components from the table as well as the REPORTED total.
SEC_NAMEThe name used by the director in their obligatory ownership filings if not available – this is usually indicated by NOT AVAILABLE MONTH YEAR to indicate the last time we researched this person.
PERSON_CIKThe Central Index Key of the director – if not available – this is usually indicated by NOT AVAILABLE MONTH YEAR to indicate the last time we researched this person.
GENDERM/F as indicated in the source document in pronoun references to the director
SINCEThe four digit year the director began serving on the board. If there is an interruption in service the YEAR represents the YEAR their current tenure began
AGEThe age of the director as reported in the source document the compensation was parsed from. Note, this is generally after the close of the year the compensation relates to.
Director Compensation Table Fields

Further analysis is done on the listed directors to match them to any ownership filings they might have submitted to the SEC. We match the person to our existing databases to populate the GENDER column. If not matched we run text analysis of references to them in the filing and validate those references to assign a gender. The YEAR, AGE and SINCE variables are populated after the data is initially collected. The value for YEAR is pulled from the associated executive compensation table in the same filing. SINCE is populated if the director was present in the prior year. For new directors the filing is reviewed to establish AGE. For continuing directors, if AGE was present in a prior year and the RDATE of the current filings falls within a limited window (one year plus or minus N days) from the prior filings the value is automatically incremented from the prior filing
